An LEI code is an identification code associated with a company's CVR number. This means that the code cannot be moved from one company to another. If you have several companies, you must have a code for each company.

LEI is an abbreviation for ‘Legal Entity Identifier. An LEI code is a unique identification for legal entities that can be used globally. An LEI code makes it possible to see who is the entity and who owns the entity. This creates transparency and increases security.

Both terms can be used, but it is the term "LEI code" that is used most often in Denmark. "LEI number" is used most often in England, India and Australia.

All legal entities wishing to sell or buy securities must have an LEI code from January 3, 2018. The concept of legal personality includes all types of companies, associations, foundations and legends and more. Physical persons are identified with their national identification number and therefore don't need to have an LEI code.

An LEI code creates transparency and security in the financial markets, while at the same time making it easier to increase the monitoring of market abuse. It was originally the G20 countries that requested a system that could strengthen market surveillance. The LEI system makes it possible to identify which companies, funds, companies or the like are behind a trade in the financial markets.

Normally it will be the subscriber who orders an LEI code, as a power of attorney document must be signed. However, anyone authorized to do so may order an LEI on behalf of any legal entity.

If you are a company, fund, association or other legal entity, you cannot buy or sell securities in the financial markets without an LEI code. A securities trader may not trade with companies that do not have an LEI code, which is why the trade will not be approved.

However, there is an exception for a sole proprietorship, which in most cases does not need an LEI code.

No, private individuals cannot obtain an LEI code. LEI codes are for identifying legal entities worldwide, which is why only companies, foundations, associations or the like need an LEI code.

An LEI code must be renewed once a year, as the data in the LEI register must be up-to-date, relevant and correct. If you want to avoid thinking about renewing your LEI code every year, you can choose between 3- or 5-year validity, and we will make sure to continuously update and validate your data for you. GLEIF is short for ‘Global Legal Entity Identifier Foundation’. GLEIF is a non-profit organization whose primary task is to create transparency in the financial markets. GLEIF is responsible for the LEI system, and on their website, www.GLEIF.org, you can find a database of all LEI codes issued. You can also find details on all companies that have an LEI code. GLEIF monitors all LEI issuers and is responsible for the operation and proper execution of the LEI system. Their head office is located in Basel, Switzerland.

The system behind LEI codes and its enormous potential

The LEI system was founded in the wake of the 2008 financial crisis, when financial markets plummeted following the collapse of Lehman Brothers. In order to prevent something similar from happening again, the G20 countries sent a request to the Council for Financial Stability for a system that would increase the transparency and thus the safety of the financial markets. Today, the LEI system plays a major role in risk management and fraud management in the financial markets through a transparent, global system that can verify all financial transactions.

What is an Legal Entity Identifier (LEI)?

LEI stands for Legal Entity Identifier and is a 20-digit identification code that is required by law for all legal entities that trade in securities. The numbers 1-4 indicate which LOU (Local Operating Unit) issued the code. The characters from 3-4 are reserved for future functionality, as the system is still under development. The characters from 7-18 consist of digits and letters that identify the individual legal entity and are thus unique for each company. The last two characters from 19-20 act as check digits.

With the help of a Legal Entity Identifier, also called an LEI code, it is therefore possible to identify financial transactions in a much more secure, easy and less expensive way. Before the creation of the comprehensive global LEI system, identifying a trade required many man-hours and manual work. This validation and identification took place through information from sources that were often unreliable.

In the global LEI database, you can search for all the legal entities that have an LEI code. Here you will find information about the company in the form of the following:

Common to all LEI codes is that they must be renewed once a year to ensure that all company data is up-to-date and correct. In this way, the LEI database functions as a database of all global legal entities that trade in securities. This increases transparency in the markets and makes it possible to reduce fraud by being able to identify both national and international financial transactions.

Why has a global LEI system been built?

There has long been a need for a system that could identify transactions on the financial markets across national borders. However, this has been difficult to create, even though the demand was high. In the wake of the culmination of the financial crisis in 2008, the G20 countries sent a request to the Financial Stability Board (RFS) for a system that could help restore confidence between consumers and the financial markets. In 2012, the RFS responded to the G20 countries' request with a report which contained principles for the development of a global LEI system. This report was endorsed by the G20 countries at the summit in June 2012.

The report described, among other things, how the system can improve risk management in companies through better assessment of micro and macro risks, reduce market abuse and financial fraud, as well as contribute to a higher quality of financial data across national borders.

The various pieces of legislation dealing with entity identifiers
The requirement to be able to present an LEI code started for companies under the EMIR regulation, European Market Infrastructure Regulation, which was thus the forerunner of the LEI system. According to the EMIR legislation, everyone had to have a so-called "pre-LEI code". This was rolled out to ensure a smooth transition to the later MiFIR and MIFID II legislation.

On 15 May 2014, new requirements were published when the MIFID directive entered into force. This legislation focuses on increasing investor protection and trading transparency by making the financial markets more robust, efficient and transparent. This directive contains, among other things, authorization requirements for regulated markets, specific rules for access to financial instruments for trading, as well as rules on specific behavior and organizational requirements for the investment companies.

On 3 January 2018, the MiFIR Regulation and the MIDID II Directive entered into force. All companies were now required to have an LEI code in order to buy and sell securities. According to the legislation, it is the securities traders who must be able to report LEI codes on both parties in all transactions. It was thus at this point that the LEI system really took off and became a new global standard.

The LEI system is still under development and lays the foundation for security for investors trading financial instruments. It also plays a major role in the work around KYC (Know Your Client), as it significantly simplifies the identification process and provides access to relevant and important information about all legal entities that carry out transactions. This opens up new business opportunities and increases operational efficiency for many large financial firms.
